Joyner TMS — Acceptable Use Policy

1. Purpose

This Acceptable Use Policy ("Policy") describes the permitted and prohibited uses of the Joyner TMS platform ("Platform"). This Policy applies to all subscribers, authorized users, and any other person who accesses or uses the Platform. This Policy supplements and is incorporated into the Joyner TMS SaaS Terms of Service. Violation of this Policy may result in immediate suspension or termination of Platform access.

2. Permitted Uses

The Platform is provided for legitimate transportation management and logistics business purposes. Permitted uses include:

  • Managing freight orders, shipments, and logistics operations for Customer's own business
  • Tendering loads to carriers and managing carrier relationships
  • Tracking shipments and generating logistics reports and analytics
  • Managing documents related to transportation operations (BOLs, PODs, rate confirmations)
  • Integrating with authorized third-party logistics systems and carrier APIs
  • Accessing and exporting Customer's own data stored in the Platform
  • Using the Platform's API within the rate limits specified in Customer's subscription
  • Training authorized users on Platform features for legitimate business use

3. Prohibited Uses

The following uses of the Platform are strictly prohibited:

3.1 Unauthorized Access & Security Violations

  • Accessing the Platform using credentials that do not belong to you or that you are not authorized to use
  • Sharing user credentials with unauthorized individuals or allowing multiple people to use the same named user account
  • Attempting to gain unauthorized access to any part of the Platform, its underlying infrastructure, or other customers' data
  • Probing, scanning, or testing the vulnerability of the Platform or any related system without Joyner's prior written authorization
  • Bypassing, disabling, or circumventing any security feature, access control, or authentication mechanism of the Platform
  • Using automated tools (bots, scrapers, crawlers) to access or extract data from the Platform in a manner that exceeds normal usage patterns or violates the API rate limits

3.2 Prohibited Data & Content

  • Uploading, entering, or transmitting through the Platform any data that infringes any third-party intellectual property right, trade secret, or confidentiality obligation
  • Using the Platform to process data related to illegal activities, including smuggling, human trafficking, or transportation of prohibited goods
  • Entering false, fraudulent, or misleading information into the Platform, including fictitious shipments, falsified carrier records, or fabricated compliance documents
  • Using the Platform to process personal data in violation of applicable privacy law or without required data subject consents
  • Uploading malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system

3.3 System Abuse & Interference

  • Using the Platform in a manner that places an unreasonable or disproportionate load on Joyner's infrastructure, including excessive API calls beyond subscription limits
  • Attempting to reverse engineer, decompile, disassemble, or derive the source code of any component of the Platform
  • Modifying, adapting, translating, or creating derivative works based on the Platform or its underlying software
  • Removing, obscuring, or altering any copyright, trademark, or other proprietary notices within the Platform
  • Interfering with or disrupting the integrity or performance of the Platform or any other customer's use of the Platform
  • Introducing any code, script, or mechanism designed to monitor other users' activity, harvest credentials, or intercept communications within the Platform

3.4 Prohibited Commercial Uses

  • Sublicensing, reselling, or providing access to the Platform to third parties who are not authorized users under Customer's subscription
  • Using the Platform as a component of a competing TMS product or service, or using insights from the Platform to build a competing product
  • Using Joyner's carrier network data, rate intelligence, or market data obtained through the Platform for commercial purposes outside of Customer's own logistics operations without Joyner's prior written consent
  • White-labeling or rebranding the Platform without a separately executed white-label agreement

3.5 Legal & Regulatory Violations

  • Using the Platform to arrange transportation of hazardous materials without proper compliance documentation and regulatory authorization
  • Using the Platform to arrange transportation services with carriers who are not properly licensed, insured, or authorized under FMCSA regulations
  • Using the Platform in violation of applicable U.S. or international export control laws or economic sanctions programs
  • Using the Platform to facilitate any activity that violates applicable federal, state, or local law, including transportation regulations, customs requirements, and trade compliance obligations

4. API Usage

Customers with API access must comply with the following requirements:

  • API usage must not exceed the rate limits specified in Customer's subscription tier — rate limit details are available in Joyner's API documentation at tms.myjoyner.com/api
  • API keys must be kept confidential and must not be shared with unauthorized parties
  • All API usage must be for Customer's own legitimate business operations — API access may not be used to build competing products or to resell API access to third parties
  • Automated scripts or integrations must include appropriate error handling and must not retry failed requests in a manner that constitutes a denial-of-service attack on Joyner's infrastructure
  • Customer must promptly rotate API keys upon any suspected compromise and notify Joyner of any unauthorized API access

5. User Responsibilities

Customer is responsible for ensuring that all authorized users of Customer's Platform account comply with this Policy. Customer must:

  • Promptly deprovision user accounts for former employees, contractors, or other individuals who are no longer authorized to access the Platform
  • Implement strong password policies and enable multi-factor authentication (MFA) for all user accounts where available
  • Promptly report any suspected unauthorized access, credential compromise, or policy violation to Joyner at security@myjoyner.com
  • Ensure that any third-party integrations connected to Customer's Platform account comply with this Policy and do not introduce security vulnerabilities

6. Monitoring & Enforcement

Joyner reserves the right to monitor Platform usage for compliance with this Policy and the SaaS Terms of Service. Joyner may use automated tools to detect abnormal usage patterns, security threats, and potential policy violations. Monitoring is conducted in accordance with Joyner's privacy practices as described in the Data Processing Agreement and Privacy Policy.

Upon detecting a potential violation, Joyner may:

  • Contact Customer's account administrator to investigate the activity
  • Temporarily suspend the affected user account or API key pending investigation
  • Suspend Customer's entire Platform access for serious or confirmed violations
  • Permanently terminate Customer's subscription for material or repeated violations
  • Report criminal conduct to law enforcement authorities
  • Pursue all available legal remedies for damages caused by violations of this Policy

7. Reporting Violations

If you become aware of any use of the Platform that violates this Policy — including suspected unauthorized access, data breaches, or misuse by other customers — please report it to security@myjoyner.com immediately. Joyner takes all reports seriously and will investigate promptly.

8. Changes to This Policy

Joyner may update this Policy at any time with at least thirty (30) days' written notice to active subscribers. Continued use of the Platform after updated Policy takes effect constitutes acceptance. Material violations of this Policy may result in immediate suspension regardless of whether the violating activity began before or after the update.
