Joyner Intermodal — Carrier Coordination Terms

1. Purpose & Scope

These Carrier Coordination Terms ("Terms") describe how Joyner Transportation & Logistic Services LLC ("Joyner," "we," "us," or "our") selects, coordinates, and manages the rail carriers, drayage carriers, and other transportation service providers ("Carriers") used to perform intermodal freight transportation services. These Terms supplement and are incorporated into the Joyner Intermodal Transport Agreement. Understanding Joyner's carrier coordination process is important for shippers because it affects how liability is allocated and how service issues are resolved.

2. Carrier Selection & Qualification

Joyner maintains a network of qualified intermodal carriers and drayage providers. All Carriers in Joyner's intermodal network must meet the following minimum qualifications before being engaged:

2.1 Rail Carriers

  • Class I or regional railroad operating authority under applicable Surface Transportation Board (STB) regulations
  • Current intermodal operating agreements with Joyner or Joyner's intermodal marketing company (IMC) partner
  • Adequate cargo liability coverage consistent with applicable rail carrier tariff terms
  • Participation in standard intermodal equipment pools (53' domestic containers and/or ISO containers as applicable)

2.2 Drayage Carriers

  • Valid FMCSA motor carrier operating authority (MC number) in active status
  • FMCSA safety rating of Satisfactory or no rating (unrated carriers accepted subject to safety score review)
  • Minimum commercial auto liability insurance of $1,000,000 combined single limit
  • Minimum cargo insurance of $100,000 per occurrence
  • Current operating authority at all intermodal rail ramps where they will perform drayage
  • Executed Joyner drayage carrier agreement incorporating applicable compliance requirements

3. Carrier Assignment & Dispatch

Upon receipt of a confirmed intermodal shipment tender from Customer, Joyner will:

  • Select an appropriate rail carrier and service lane based on origin, destination, transit time requirements, and equipment availability
  • Arrange first-mile drayage from Customer's origin location to the designated intermodal rail ramp
  • Book container space with the applicable rail carrier and provide a booking reference number
  • Arrange last-mile drayage from the destination intermodal rail ramp to Customer's consignee location
  • Issue a Joyner intermodal bill of lading covering the door-to-door movement
  • Provide Customer with shipment tracking access through Joyner's tracking platform

Joyner selects Carriers based on availability, service capability, and network relationships. Joyner does not guarantee the use of any specific Carrier or equipment unless expressly agreed in writing. Customer may not direct Joyner to use a specific Carrier that Joyner has not pre-qualified.

4. Equipment

Intermodal shipments are transported in containers provided by the applicable rail carrier, container leasing company, or Customer's own equipment (where applicable). Container availability is subject to rail carrier and equipment pool availability at the time of booking. Joyner does not own or lease intermodal containers and is not responsible for container availability delays caused by equipment pool imbalances or high demand periods.

Customers providing their own intermodal containers (shipper-owned containers or SOC) must ensure their equipment meets applicable rail carrier acceptance standards. Joyner will coordinate the movement of Customer-provided equipment but is not responsible for damage to Customer-provided equipment attributable to rail carrier or drayage carrier operations — such claims must be pursued directly against the responsible Carrier.

5. Ramp Operations & Cut-Off Times

Each intermodal rail ramp has specific operating hours and freight cut-off times that must be met for a shipment to be included in the planned rail departure. Joyner will communicate applicable ramp cut-off times to Customer and drayage carriers. Joyner is not responsible for missed rail departures resulting from:

  • Customer's failure to have freight ready for pickup by the scheduled drayage pickup time
  • Delays at Customer's facility that prevent the drayage carrier from departing in time to make the ramp cut-off
  • Traffic, weather, or other delays affecting drayage transit time that are outside the drayage carrier's reasonable control
  • Ramp cut-off time changes implemented by the rail carrier after Joyner has communicated the original cut-off to Customer

Missed rail departures due to causes within Joyner's reasonable control will be handled through rebooking on the next available departure at no additional charge to Customer.

6. Tracking & Visibility

Joyner provides shipment tracking visibility through its intermodal tracking platform, which aggregates status updates from rail carrier electronic data interchange (EDI) feeds and drayage carrier GPS and app check-ins. Tracking data is provided as-is based on Carrier-reported information and may not reflect real-time shipment location in all circumstances. Joyner is not liable for tracking data inaccuracies caused by Carrier reporting delays or EDI feed disruptions.

For shipments where tracking visibility is critical, Customer should contact Joyner's intermodal operations team directly for manual status updates. Joyner will make reasonable efforts to obtain current shipment status from Carriers upon Customer's request.

7. Carrier Performance Issues

If a Carrier fails to perform as expected — including missed pickups, transit delays, equipment failures, or delivery failures — Joyner will:

  • Notify Customer promptly upon becoming aware of the service failure
  • Coordinate with the Carrier to resolve the issue and provide Customer with updated estimated delivery information
  • Arrange alternative transportation where practicable and cost-effective if the original service cannot be recovered within a reasonable timeframe
  • Assist Customer in filing a freight claim against the responsible Carrier where applicable

Joyner's ability to recover service failures depends on Carrier cooperation, equipment availability, and rail network conditions. Joyner does not guarantee specific recovery timelines for Carrier-caused service failures.

8. Carrier Relationships & Confidentiality

Joyner's carrier relationships, pricing arrangements, and network agreements are proprietary and confidential. Customer may not contact Joyner's Carriers directly to negotiate rates, bypass Joyner's coordination, or solicit Carriers for direct transportation arrangements on shipments where Joyner has been engaged. Customer may not use information about Joyner's Carrier network — learned through its relationship with Joyner — to replicate Joyner's intermodal service or to facilitate a competing intermodal offering.

9. Dispute Resolution & Governing Law

All disputes arising out of or relating to these Terms are subject to the Joyner Arbitration & Dispute Resolution Policy. These Terms are governed by federal transportation law where applicable and, to the extent state law applies, by the laws of the State of Georgia.
