Joyner Sales Agent — Code of Conduct
1. Purpose
This Code of Conduct ("Code") establishes the professional, ethical, and legal standards that all Joyner Independent Sales Agents ("Agents") must uphold in representing Joyner Transportation & Logistic Services LLC ("Joyner") to prospective and existing customers. Joyner's reputation for integrity and professionalism is one of its most valuable assets, and every Agent acts as an ambassador of that reputation. This Code supplements and is incorporated into the Independent Sales Agent Agreement. Violations of this Code are grounds for immediate termination of the Agent relationship.
2. Honesty & Accuracy
Agents must represent Joyner's products, services, pricing, and capabilities honestly and accurately at all times. Specifically, Agents must:
- Use only Joyner-approved pricing, product descriptions, and marketing materials — never quote unauthorized rates or make up product features
- Never make promises, guarantees, or commitments to customers that Joyner has not authorized — including promises about service levels, response times, or pricing that are not confirmed in writing by Joyner
- Correct any misunderstanding a customer may have about Joyner's products or capabilities, even if correcting the misunderstanding makes a sale less likely
- Never misrepresent your relationship with Joyner — Agents are independent contractors, not Joyner employees, and must not represent themselves as Joyner employees or officers
- Never fabricate or alter customer testimonials, reviews, or references
- Accurately represent your own qualifications, experience, and expertise when speaking with prospective customers
3. Customer First
Agents must prioritize the genuine interests of prospective customers in every sales interaction. Agents must:
- Recommend Joyner products that genuinely fit the customer's needs — never pressure a customer into purchasing a product or tier that does not suit their situation
- Disclose all relevant information about a product or service that a reasonable customer would want to know before making a purchasing decision, including known limitations or restrictions
- Never use high-pressure, deceptive, or manipulative sales tactics
- Respect a customer's decision not to purchase and not engage in harassing follow-up after a customer has declined
- Promptly refer customer complaints or service issues to Joyner's customer support team rather than attempting to handle them independently
- Never accept gifts, kickbacks, or payments from customers in exchange for preferential treatment or favorable representations
4. Professional Conduct
Agents represent Joyner in every customer interaction and must maintain the highest standards of professional conduct:
- Communicate with customers, Joyner staff, and the public in a respectful, professional, and courteous manner at all times
- Dress and present professionally in all in-person customer meetings and Joyner-sponsored events
- Respond to customer inquiries and Joyner communications within one (1) business day
- Never speak disparagingly about Joyner, Joyner's products, Joyner's employees, or Joyner's competitors in customer communications or on social media
- Maintain confidentiality of all customer information and Joyner business information as required by the Agent Agreement
- Disclose any actual or potential conflict of interest to Joyner promptly — including representing competing companies or having financial relationships with Joyner customers
5. Legal Compliance
Agents must comply with all applicable federal, state, and local laws governing sales, marketing, and solicitation activities, including:
- Do Not Call (DNC) compliance: Agents must comply with the National Do Not Call Registry and applicable state DNC lists when making outbound calls to prospective customers. Agents are responsible for scrubbing their call lists against the DNC registry before making calls.
- CAN-SPAM Act: All commercial email communications must comply with the CAN-SPAM Act, including clear identification of the sender, a physical mailing address, and a functional opt-out mechanism
- FTC endorsement guidelines: Agents must disclose their commercial relationship with Joyner in any public testimonial, review, or endorsement, consistent with FTC endorsement guidelines
- Anti-bribery: Agents must not offer, pay, or accept bribes, kickbacks, or improper payments in connection with Joyner sales activities
- Anti-discrimination: Agents must comply with all applicable anti-discrimination laws and must not engage in discriminatory sales practices of any kind
- Privacy laws: Agents must handle customer personal information in compliance with applicable privacy laws and must not use customer data for any purpose other than Joyner sales activities
6. Social Media & Public Communications
Agents who discuss Joyner or Joyner's products on social media or in public forums must:
- Clearly disclose their commercial relationship with Joyner in any post, review, or public communication that promotes Joyner's products
- Use only accurate, approved information about Joyner's products and services — never speculate about products, features, or pricing that have not been officially announced by Joyner
- Not post or share Joyner's confidential information, internal communications, or non-public business details
- Not make statements on behalf of Joyner or represent that their social media accounts are official Joyner accounts
- Immediately remove any post that Joyner determines contains inaccurate information about Joyner's products or that violates Joyner's brand guidelines, upon Joyner's written request
7. Conflicts of Interest
Agents must avoid situations that create or appear to create a conflict between Agent's personal interests and the interests of Joyner or Joyner's customers. Agent must promptly disclose to Joyner in writing:
- Any financial interest Agent has in a Joyner customer or prospective customer
- Any agency, consulting, or employment relationship Agent has with a company that competes with Joyner's products
- Any family or personal relationship between Agent and a Joyner customer that could influence Agent's sales activities
- Any gift, payment, or benefit received from a Joyner customer or prospective customer beyond customary and modest business courtesies (meals under $100 per person, nominal promotional items)
Joyner will review disclosed conflicts and determine in its reasonable judgment whether the conflict is acceptable or requires the Agent to recuse from sales activities involving the conflicted party.
8. Reporting Violations
Agents who become aware of a potential violation of this Code — whether by themselves or by another Agent — are encouraged to report it to Joyner at agents@myjoyner.com or legal@myjoyner.com. Reports made in good faith will be treated confidentially to the extent practicable. Retaliation against an Agent for reporting a good-faith Code violation concern is prohibited.
9. Consequences of Code Violations
Violations of this Code may result in:
- Written warning for first-time or minor violations
- Suspension of lead registration and commission processing pending investigation
- Forfeiture of pending commissions for violations involving misrepresentation or fraud
- Immediate termination of the Agent Agreement for serious, repeated, or criminal violations
- Legal action for violations that cause harm to Joyner or its customers
10. Governing Law & Dispute Resolution
This Code is governed by the laws of the State of Georgia. Disputes arising from this Code are subject to the Joyner Arbitration & Dispute Resolution Policy.
