Intellectual Property Policy
1. Ownership of Joyner Intellectual Property
All intellectual property associated with Joyner Transportation & Logistic Services LLC ("Joyner") and its services — including but not limited to trademarks, service marks, trade names, logos, trade dress, copyrights, patents, trade secrets, proprietary software, databases, platform designs, and content — is owned by or licensed to Joyner and is protected by United States and international intellectual property laws. All rights not expressly granted herein are reserved by Joyner.
2. Trademarks & Brand Assets
The following are trademarks or service marks of Joyner Transportation & Logistic Services LLC: JOYNER, JOYNER TRANSPORTATION & LOGISTIC SERVICES, AUTOW, JOYNER VU, JOYNER TMS, RYDE, and associated logos, taglines, and trade dress. These marks may not be used by any third party without Joyner's prior written permission. Use of Joyner's marks in a manner that is likely to cause confusion, to disparage Joyner, or to imply endorsement or affiliation where none exists is strictly prohibited.
Authorized partners (including independent sales agents, licensed technology integrators, and approved resellers) may use Joyner brand assets only in accordance with Joyner's then-current Brand Guidelines, which are available upon request from marketing@myjoyner.com.
3. Software & Platform Intellectual Property
All source code, object code, algorithms, data structures, application programming interfaces (APIs), user interface designs, and technical documentation associated with Joyner's software platforms — including Joyner TMS, Joyner Vu, the Joyner Mobile App, and Joyner One — are proprietary to Joyner and its licensors. The following are strictly prohibited:
- Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive source code from any Joyner software
- Copying, modifying, or creating derivative works based on Joyner software
- Using Joyner software to build a competing product or service
- Sublicensing, selling, renting, or otherwise transferring access to Joyner software to any third party without Joyner's written consent
4. Website & Platform Content
All original content published by Joyner — including website copy, marketing materials, training content (including Joyner University courseware), documentation, photographs, graphics, video, audio, and data compilations — is protected by copyright and may not be reproduced, distributed, publicly displayed, or adapted without Joyner's prior written consent. Brief quotations for commentary, criticism, or news reporting may be permissible under fair use principles; however, Joyner does not make representations about what constitutes fair use.
5. Customer Data
Personal data and business data submitted by customers to Joyner's platforms (including shipment data, inventory records, and account information) remain the property of the customer. By submitting data to Joyner's platforms, customers grant Joyner a limited, non-exclusive license to process, store, and use that data solely to provide the applicable service and as described in the Joyner Privacy Policy. Joyner does not claim ownership of customer data.
6. User-Generated Content License
Where Joyner's platforms permit users to submit content (including ratings, reviews, feedback, photos, or communications), by submitting such content you grant Joyner a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, publicly display, distribute, and create derivative works from that content in connection with operating, promoting, and improving Joyner's services — in any media or format now known or hereafter developed.
You represent and warrant that you own or have the necessary rights to grant this license, and that your content does not infringe any third-party intellectual property right or violate any applicable law.
7. Feedback & Suggestions
If you submit ideas, product suggestions, enhancement requests, or other feedback to Joyner — whether through formal channels or informally — you grant Joyner a perpetual, irrevocable, royalty-free, worldwide, sublicensable license to use, implement, modify, and commercialize such feedback in any manner Joyner chooses, without any obligation to compensate you, attribute the feedback to you, maintain it as confidential, or notify you of its use.
8. Reporting Copyright Infringement
If you believe that content on a Joyner platform or website reproduces your copyrighted work without authorization, please submit a written report to legal@myjoyner.com with the subject line "Copyright Infringement Report." Your report should include a description of the copyrighted work, the location of the allegedly infringing content, your contact information, and a statement of good-faith belief that the use is not authorized. 9. Reporting Trademark Infringement
If you believe that Joyner's trademarks or brand assets are being used without authorization, or if you believe your trademark rights are being infringed by content on a Joyner platform, please contact legal@myjoyner.com with details of the alleged infringement. 10. Open Source Software
Joyner's platforms may incorporate open source software components. Where required by the applicable open source license, Joyner makes the relevant license terms and, where applicable, source code available. Open source components are provided under their respective licenses and are not subject to this Policy's restrictions on reverse-engineering to the extent expressly permitted by the applicable open source license.
11. Enforcement
Joyner actively monitors and enforces its intellectual property rights. Unauthorized use of Joyner's intellectual property — including unauthorized use of Joyner's trademarks, reproduction of Joyner's copyrighted content, or misappropriation of Joyner's trade secrets or software — may result in: immediate account suspension or termination; legal action for injunctive relief; and/or claims for damages, including statutory damages where applicable.
12. Governing Law
This Policy is governed by the laws of the United States and the State of Georgia. Intellectual property disputes are subject to the Joyner Arbitration & Dispute Resolution Policy, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property without first exhausting arbitration procedures.
