Joyner Dispatch — No Guarantee of Loads Disclaimer

1. Purpose

This No Guarantee of Loads Disclaimer ("Disclaimer") is an important disclosure that all Carriers engaging Joyner Transportation & Logistic Services LLC's ("Joyner") dispatch services must read and understand before enrolling. Joyner provides freight dispatch services to assist independent owner-operators and small carriers in finding and booking freight loads. However, the availability of freight is subject to market conditions beyond Joyner's control, and Joyner cannot and does not guarantee that any specific volume of loads will be available at any time. This Disclaimer supplements and is incorporated into the Joyner Dispatch Service Agreement.

2. No Guarantee of Load Volume

JOYNER DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT ANY SPECIFIC NUMBER OF LOADS, MILES, OR REVENUE WILL BE AVAILABLE TO CARRIER THROUGH JOYNER'S DISPATCH SERVICE AT ANY TIME. THE AVAILABILITY OF FREIGHT LOADS IS DETERMINED BY MARKET CONDITIONS, SEASONAL FREIGHT CYCLES, LANE DEMAND, EQUIPMENT TYPE, CARRIER LOCATION, BROKER AVAILABILITY, AND OTHER FACTORS OUTSIDE JOYNER'S REASONABLE CONTROL.

By engaging Joyner's dispatch services, Carrier acknowledges and agrees that:

• Joyner will make reasonable, good-faith efforts to find and offer available loads to Carrier based on Carrier's equipment type, preferred lanes, and availability
• There may be periods — including slow freight seasons, market downturns, or periods of high carrier supply — during which load availability is limited or loads meeting Carrier's requirements are not available
• Joyner's ability to find loads is dependent on broker and shipper demand in the freight market, which fluctuates and cannot be predicted or guaranteed
• Joyner does not reserve, hold, or have exclusive access to any specific freight loads, and loads identified by Joyner may be booked by other carriers before Carrier accepts

3. No Guarantee of Rates

JOYNER DOES NOT GUARANTEE ANY SPECIFIC FREIGHT RATE, PER-MILE RATE, OR REVENUE LEVEL FOR LOADS BOOKED THROUGH JOYNER'S DISPATCH SERVICE. FREIGHT RATES ARE SET BY THE MARKET AND NEGOTIATED WITH INDIVIDUAL BROKERS AND SHIPPERS. RATES VARY BY LANE, COMMODITY, SEASON, EQUIPMENT TYPE, AND MARKET CONDITIONS AND MAY BE HIGHER OR LOWER THAN CARRIER'S EXPECTATIONS OR PRIOR EXPERIENCE.

Joyner will negotiate rates in good faith on Carrier's behalf and will not accept a load at a rate that Carrier has expressly declined. However, Joyner makes no representation that it will achieve any particular rate level for any load.

4. Market Conditions & Freight Cycles

The trucking industry is subject to well-documented freight market cycles, including periods of high demand (tight markets) and low demand (soft markets). During soft freight markets, load availability may be significantly reduced and rates may decline. Joyner has no control over macro freight market conditions and is not responsible for reduced load availability or lower rates during soft market periods. Carrier should plan its business operations with the understanding that freight markets are cyclical and that periods of reduced load volume are a normal feature of the trucking industry.

5. Dispatch Fees During Low-Volume Periods

Joyner's dispatch fees are charged on a per-load basis as described in the Payment Terms. Dispatch fees are only charged when a load is successfully booked and accepted by Carrier. Joyner does not charge dispatch fees for periods during which no loads are booked. However, any applicable flat monthly service fees (where included in Carrier's service plan) are due regardless of load volume in a given month.

6. Carrier's Responsibility for Business Viability

Carrier is solely responsible for the financial viability and sustainability of its trucking business. Joyner's dispatch service is a support tool — it is not a guarantee of business success or profitability. Carrier should not engage Joyner's dispatch services as a substitute for its own business planning, financial reserves, or diversified load sourcing strategy. Joyner strongly recommends that Carriers maintain multiple revenue sources and not rely exclusively on any single dispatch service for their freight.

7. No Liability for Load Availability

JOYNER IS NOT LIABLE TO CARRIER FOR ANY LOSS OF INCOME, LOST PROFITS, DEADHEAD MILES, FIXED COSTS, OR OTHER DAMAGES RESULTING FROM PERIODS DURING WHICH LOADS ARE NOT AVAILABLE THROUGH JOYNER'S DISPATCH SERVICE, REGARDLESS OF THE CAUSE OF SUCH UNAVAILABILITY. CARRIER'S SOLE REMEDY FOR DISSATISFACTION WITH LOAD AVAILABILITY IS TO TERMINATE THE DISPATCH SERVICE AGREEMENT IN ACCORDANCE WITH ITS TERMS.

8. Representations Made by Joyner

Joyner represents only the following with respect to its dispatch service:

• Joyner will make good-faith efforts to find available loads matching Carrier's equipment type and preferences
• Joyner will negotiate rates on Carrier's behalf with the goal of maximizing Carrier's per-mile revenue
• Joyner will communicate load offers to Carrier in a timely manner
• Joyner will not book a load under Carrier's authority without Carrier's prior acceptance

Any representation by a Joyner employee or agent beyond the above — including any suggestion of guaranteed load volume, guaranteed weekly miles, or guaranteed revenue — is unauthorized and not binding on Joyner unless confirmed in a separately executed written agreement signed by an authorized officer of Joyner.

9. Acknowledgment

By executing the Dispatch Service Agreement and engaging Joyner's dispatch services, Carrier acknowledges that it has read and understood this Disclaimer, that no guarantee of loads or revenue has been made or implied by Joyner, and that Carrier is entering the dispatch relationship with a full understanding of the variable nature of freight market availability.

10. Dispute Resolution & Governing Law

All disputes arising out of or relating to this Disclaimer are subject to the Joyner Arbitration & Dispute Resolution Policy. This Disclaimer is governed by the laws of the State of Georgia.
