JoynerVu — Display Disclaimer

1. Purpose

This Display Disclaimer ("Disclaimer") describes the allocation of responsibility between Joyner Transportation & Logistic Services LLC ("Joyner," "we," "us," or "our") and Advertisers with respect to advertising content displayed on the JoynerVu mobile out-of-home advertising platform. This Disclaimer supplements and is incorporated into the JoynerVu Advertiser Agreement.

2. Joyner's Role as Platform Operator

Joyner operates the JoynerVu platform, which provides the technical infrastructure, vehicle network, and display screens through which Advertiser content is delivered to audiences. Joyner is a platform operator — not the author, creator, or publisher of Advertiser content. Joyner's role is limited to: reviewing Creative for compliance with the Advertising Policy and Content Restrictions Policy; scheduling approved Creative for display; and operating the display infrastructure.

3. Advertiser Responsibility for Content

Advertisers are solely responsible for:

• The accuracy, truthfulness, and legal compliance of all claims, representations, and information contained in their Creative
• Ensuring that Creative does not infringe any third-party intellectual property right, right of publicity, privacy right, or other legal right
• Obtaining all necessary licenses, releases, consents, and permissions for all content elements used in Creative, including images, music, video, trademarks, and talent appearances
• Ensuring that Creative complies with all applicable federal, state, and local advertising laws and regulations, including FTC truth-in-advertising requirements, FDA advertising regulations, FINRA and SEC advertising rules, and applicable state consumer protection laws
• Including all legally required disclosures, warnings, and disclaimers in the Creative
• The outcomes, results, or consumer responses generated by their advertising campaign

4. Joyner's Content Review — Scope & Limitations

Joyner reviews Creative submissions for compliance with the JoynerVu Advertising Policy and Content Restrictions Policy before approving them for display. This review is limited to the content standards described in those policies and does not constitute:

• A legal opinion or regulatory clearance that the Creative complies with applicable law
• A warranty that the Creative is free from intellectual property infringement
• An endorsement of the Advertiser's products, services, or claims
• A guarantee that the Creative will not generate complaints, regulatory inquiries, or legal claims from third parties
• A review for accuracy of factual claims made in the Creative

Joyner's approval of Creative for display does not shift responsibility for the content from the Advertiser to Joyner. The Advertiser remains solely responsible for the content and its legal compliance regardless of Joyner's approval.

5. No Endorsement

The display of advertising content on JoynerVu screens does not constitute Joyner's endorsement of the Advertiser, its products or services, or any claim made in the advertising. Joyner is not affiliated with, sponsored by, or in partnership with Advertisers beyond the commercial advertising relationship governed by the Advertiser Agreement, unless a separate written partnership agreement expressly states otherwise.

Advertisers may not represent or imply in any communication — including in their Creative, website, marketing materials, or press releases — that Joyner endorses the Advertiser or its products or services, without Joyner's prior written consent.

6. Third-Party Claims

If a third party — including a consumer, competitor, regulatory agency, or rights holder — makes a claim arising from or related to an Advertiser's Creative displayed on JoynerVu, the Advertiser is responsible for responding to and resolving that claim. Joyner will cooperate reasonably with the Advertiser in connection with third-party claims to the extent practicable, but is not obligated to defend, indemnify, or contribute to the resolution of claims arising from Advertiser content. The Advertiser's indemnification obligations under the Advertiser Agreement apply to all such third-party claims.

7. Platform Availability & Display Continuity

Joyner does not guarantee uninterrupted display of Creative on JoynerVu screens. Display may be interrupted or unavailable due to:

• Vehicle maintenance, breakdown, or accident
• Screen technical issues or software updates
• Network or connectivity outages
• Weather conditions or natural events affecting vehicle operations
• Regulatory restrictions on vehicle operations in specific areas
• Force Majeure Events as described in the Joyner Force Majeure Policy

Joyner will make commercially reasonable efforts to maximize platform uptime and display continuity. Where display interruptions result in material under-delivery of contracted impressions due to causes within Joyner's reasonable control, the remedies described in the Advertiser Agreement apply.

8. Audience Disclaimer

JoynerVu screens are visible to members of the general public, including minors, in public spaces. Advertisers are responsible for ensuring that their Creative is appropriate for general public audiences, including children, who may view vehicle-mounted screens in public. Joyner's Content Restrictions Policy prohibits content that is inappropriate for general public display. Advertisers whose campaigns are targeted to adult audiences must ensure their Creative is appropriate for incidental viewing by minors who may observe the screens in public settings.

9. Competitor Advertising

Joyner may display advertising from multiple Advertisers on its platform, including Advertisers whose products or services compete with each other. Joyner does not provide category exclusivity to Advertisers unless exclusivity is expressly agreed in a written IO or separate agreement. The display of a competitor's advertising on JoynerVu screens does not constitute a breach of any Advertiser's agreement with Joyner.

10. Limitation of Liability

JOYNER'S LIABILITY IN CONNECTION WITH THE DISPLAY OF ADVERTISER CONTENT ON THE JOYNERVU PLATFORM IS LIMITED AS DESCRIBED IN THE ADVERTISER AGREEMENT. JOYNER IS NOT LIABLE FOR: (A) THIRD-PARTY CLAIMS ARISING FROM ADVERTISER CONTENT; (B) THE ACCURACY OR LEGAL COMPLIANCE OF ADVERTISER CONTENT; (C) CONSUMER RESPONSES TO ADVERTISER CONTENT; (D) IMPRESSION SHORTFALLS CAUSED BY FACTORS OUTSIDE JOYNER'S REASONABLE CONTROL; OR (E) INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM THE DISPLAY OR NON-DISPLAY OF ADVERTISER CONTENT.

11. Governing Law & Dispute Resolution

This Disclaimer is governed by the laws of the State of Georgia. Disputes are subject to the Joyner Arbitration & Dispute Resolution Policy.
