Joyner Broker Service — Terms & Conditions
1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Shipper," "Customer," "you," or "your") and Joyner Transportation & Logistic Services LLC, a Georgia limited liability company ("Joyner," "we," "us," or "our"), governing your use of Joyner's property freight brokerage services ("Brokerage Services" or "Service"). By requesting, booking, or using the Brokerage Services, you agree to be bound by these Terms, the Joyner Master Terms & Conditions, the Privacy Policy, and all other applicable Joyner policies incorporated herein by reference.
2. Joyner's Role as a Licensed Property Broker
Joyner operates as a federally licensed property freight broker under authority granted by the Federal Motor Carrier Safety Administration (FMCSA), USDOT Docket No. [MC#]. As a property broker, Joyner arranges for the transportation of freight on behalf of Shippers by contracting with third-party motor carriers ("Carriers") who are independently responsible for the actual transportation of freight. Joyner does not itself transport freight in its capacity as a broker.
JOYNER IS A PROPERTY BROKER, NOT A MOTOR CARRIER, IN CONNECTION WITH BROKERAGE SERVICES. JOYNER DOES NOT ASSUME CARRIER LIABILITY FOR LOSS, DAMAGE, OR DELAY TO FREIGHT ARRANGED UNDER THESE TERMS. CARRIER LIABILITY IS GOVERNED BY THE CARMACK AMENDMENT (49 U.S.C. § 14706) AND THE APPLICABLE CARRIER'S TARIFF AND BILL OF LADING TERMS.
3. Broker Authority & Licensing
Joyner holds active FMCSA property broker authority and maintains a surety bond or trust fund in the minimum amount required by 49 C.F.R. § 387.307 ($75,000 as of the effective date of these Terms, subject to regulatory change). Joyner's broker authority and bonding information is available through the FMCSA's public SAFER system at safer.fmcsa.dot.gov.
4. Carrier Selection & Vetting
Joyner uses commercially reasonable efforts to select Carriers that hold active FMCSA operating authority, maintain required minimum insurance coverage, and have a satisfactory safety rating as reflected in FMCSA's SAFER system. Joyner's Carrier vetting process includes verification of operating authority, insurance certificates, and safety rating at the time of onboarding. However:
- Joyner does not guarantee the performance, safety record, or solvency of any Carrier
- Carrier authority and insurance status may change between vetting and the time of a specific shipment
- Joyner's vetting is not a warranty of Carrier performance or a guarantee of cargo safety
You acknowledge that Carriers are independent third parties and that Joyner is not responsible for the acts, omissions, or negligence of Carriers in the performance of transportation services.
5. Shipper Responsibilities
As a Shipper using Joyner Brokerage Services, you are responsible for:
- Providing accurate and complete freight information at the time of booking, including commodity description, weight, dimensions, piece count, value, hazmat classification (if applicable), and any special handling requirements
- Ensuring that freight is properly packaged, labeled, and prepared for transport in accordance with applicable law and industry standards
- Ensuring compliance with all applicable federal, state, and local regulations governing the shipment, including hazardous materials regulations (49 C.F.R. Parts 100–185), food safety regulations, and import/export requirements
- Providing accurate pickup and delivery addresses and contact information
- Ensuring that authorized personnel are available to tender freight to the Carrier at the scheduled pickup time and to receive and inspect freight at the delivery location
- Promptly notifying Joyner of any discrepancies between the freight tendered and the freight described in the booking
6. Freight Rates & Quotes
Freight rates quoted by Joyner for Brokerage Services are estimates based on the freight information provided at the time of quoting. Final rates may be adjusted to reflect: (a) discrepancies between quoted and actual freight weight, dimensions, or classification; (b) accessorial charges incurred during pickup, transit, or delivery (e.g., detention, lumper fees, redelivery, fuel surcharges); or (c) changes in lane conditions or carrier availability. Joyner will notify you of material rate adjustments as soon as practicable. All rates are quoted in U.S. Dollars and are subject to the Joyner Billing & Payment Policy.
7. Payment Terms
Payment for Brokerage Services is due in accordance with the payment terms agreed at the time of booking or set forth in an applicable credit agreement. Standard payment terms are Net 30 from invoice date for approved credit accounts. Prepayment may be required for new accounts or high-value shipments. Late payments accrue interest at 1.5% per month. Joyner reserves the right to withhold dispatch of freight or release of documents for accounts with overdue balances.
8. Bills of Lading
A bill of lading (BOL) will be issued for each shipment arranged through Joyner Brokerage Services. The BOL is a contract of carriage between the Shipper and the Carrier and governs the terms of the actual transportation. Joyner is not a party to the BOL in its broker capacity. You are responsible for reviewing the BOL terms and ensuring the freight description on the BOL accurately reflects the shipment. Signing a clean BOL at delivery creates a presumption that freight was received in good condition.
9. Cargo Liability & Claims
9.1 Carrier Liability
Carrier liability for loss, damage, or delay to freight transported under these Brokerage Services is governed by the Carmack Amendment (49 U.S.C. § 14706) and the applicable Carrier's tariff. Standard released-value liability under the Carmack Amendment is $0.10 per pound per article unless a higher declared value is established on the BOL and the applicable Carrier's tariff permits higher value declarations.
9.2 Broker Liability
JOYNER, AS A PROPERTY BROKER, DOES NOT ASSUME LIABILITY FOR LOSS OF OR DAMAGE TO FREIGHT. JOYNER'S LIABILITY AS A BROKER IS LIMITED TO THE LESSER OF: (A) ITS BROKER CONTINGENT CARGO INSURANCE POLICY LIMITS; OR (B) THE AMOUNT RECOVERABLE FROM THE CARRIER UNDER APPLICABLE LAW. JOYNER IS NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES ARISING FROM FREIGHT LOSS, DAMAGE, OR DELAY.
9.3 Claims Procedure
Freight claims for loss or damage must be filed in writing with the responsible Carrier within nine (9) months of the date of delivery (or, in the case of non-delivery, within nine (9) months of the date the freight should have been delivered), consistent with 49 C.F.R. § 370.3. Joyner will assist Shippers in identifying the responsible Carrier and filing claims upon request, but such assistance does not create liability on Joyner's part. 10. Hazardous Materials
If your shipment contains hazardous materials as defined under 49 C.F.R. § 171.8, you must: (a) disclose the hazmat classification, UN number, proper shipping name, packing group, and quantity at the time of booking; (b) ensure proper packaging, labeling, marking, and placarding in accordance with 49 C.F.R. Parts 172–173; (c) provide a properly completed hazmat shipping paper; and (d) ensure the selected Carrier holds the appropriate hazmat operating authority. Failure to disclose hazardous materials may result in immediate cancellation of the booking, liability for any resulting damages, and referral to regulatory authorities.
11. Insurance
Joyner maintains broker contingent cargo insurance and general liability insurance in amounts consistent with industry standards and regulatory requirements. Shippers are strongly encouraged to obtain their own shipper's interest cargo insurance for high-value or time-sensitive shipments, as Carrier released-value liability may be substantially less than the full replacement value of the cargo.
12. Prohibited Commodities
Joyner will not arrange transport of the following commodities through its Brokerage Services:
- Illegal substances, controlled substances, or drug paraphernalia
- Firearms, ammunition, or weapons (except as permitted under applicable federal law with advance written authorization)
- Human remains or body parts (except through specifically authorized medical transport arrangements)
- Live animals (except through the Joyner Animal Transport Service)
- Currency, negotiable instruments, or precious metals without advance disclosure and authorization
- Any commodity the transport of which is prohibited by applicable federal, state, or local law
13. Indemnification
You agree to indemnify, defend, and hold harmless Joyner and its affiliates, officers, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) inaccurate or incomplete freight information you provided; (b) improperly packaged, labeled, or prepared freight; (c) your failure to comply with applicable law in connection with the shipment; (d) hazardous materials you failed to disclose; or (e) your breach of these Terms.
14. Dispute Resolution & Governing Law
All disputes arising out of or relating to the Brokerage Services are subject to the Joyner Arbitration & Dispute Resolution Policy. These Terms are governed by the laws of the State of Georgia and applicable federal transportation law, without regard to conflict-of-laws principles.
15. Changes to These Terms
Joyner may update these Terms at any time. Continued use of the Brokerage Services after changes take effect constitutes acceptance of the revised Terms.
