Master Terms & Conditions
1. Acceptance of Terms
These Master Terms & Conditions ("Master Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Joyner Transportation & Logistic Services LLC, a Georgia limited liability company with its principal place of business in Atlanta, Georgia ("Joyner," "we," "us," or "our"). By accessing or using any Joyner product, service, platform, application, or website — including myjoyner.com, the Joyner mobile app, Joyner TMS, JoynerVu, Joyner Autow, Joyner Mobility, Joyner Freight, Joyner Warehousing, Airport Shuttle, Corporate Shuttle, Joyner DSP, and all other current and future Joyner offerings (collectively, "Joyner Services") — you agree to be bound by these Master Terms and all applicable service-specific terms, policies, and agreements incorporated herein.
If you do not agree to these Master Terms, you must immediately stop using all Joyner Services. If you are using Joyner Services on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Master Terms.
2. The Joyner Platform
Joyner operates a multi-division transportation and logistics platform that connects customers with transportation, logistics, warehousing, technology, and advertising services. Joyner's current service divisions include:
- Joyner Autow: Motor club membership and roadside assistance services
- Joyner Mobility: Non-emergency medical transportation and assisted transportation services
- Joyner Airport Shuttle: Scheduled and on-demand airport ground transportation
- Joyner Corporate Shuttle: Employee and corporate group transportation services
- Joyner Freight: Motor carrier trucking and cargo transportation services
- Joyner Brokerage: Licensed property freight brokerage services
- Joyner Intermodal: Intermodal rail and road freight transportation
- Joyner Dispatch: Freight dispatch services for owner-operators and carriers
- Joyner Pilot Services: Pilot car and escort services for oversized loads
- Joyner Warehousing: Storage, fulfillment, and inventory management services
- Joyner DSP: Last-mile delivery service partner program
- Joyner Tractor & Trailer Parking: Commercial vehicle parking facilities
- JoynerVu: Mobile out-of-home digital advertising platform
- Joyner TMS: Transportation Management System SaaS platform
- Ryde: Rideshare platform (launching 2027)
Each service division is governed by these Master Terms plus the applicable service-specific terms, agreements, and policies. In the event of a conflict between these Master Terms and a service-specific document, the service-specific document controls with respect to the specific term it addresses.
3. Eligibility
You must be at least 18 years of age to use Joyner Services or create a Joyner account. By using Joyner Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law. Joyner Services are available in the United States, except for Joyner TMS which is also available internationally as described in the applicable international service terms.
4. Account Registration
Certain Joyner Services require you to create an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) keep your account credentials secure and confidential; (d) not share your account with any other person; and (e) notify Joyner immediately at support@myjoyner.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account. Joyner reserves the right to suspend or terminate your account at any time for breach of these Master Terms or any applicable service-specific terms.
5. Acceptable Use
Your use of Joyner Services is subject to the Joyner Acceptable Use Policy, which is incorporated into these Master Terms by reference. You agree to use Joyner Services only for lawful purposes and in accordance with these Master Terms, applicable service-specific terms, and all applicable federal, state, and local laws and regulations.
6. Privacy
Joyner's collection, use, and disclosure of personal information is governed by the Joyner Privacy Policy, which is incorporated into these Master Terms by reference. By using Joyner Services, you consent to the collection and use of your personal information as described in the Privacy Policy.
7. Payments & Billing
Use of certain Joyner Services requires payment. All payments are subject to the Joyner Billing & Payment Policy, which is incorporated into these Master Terms by reference. Joyner uses third-party payment processors to handle payment transactions. Joyner does not store raw payment card data. By providing a payment method, you authorize Joyner and its payment processor to charge that method for services you use.
8. Intellectual Property
All content, software, trademarks, service marks, logos, trade names, and other intellectual property associated with Joyner Services are owned by or licensed to Joyner and are protected by applicable U.S. and international intellectual property laws. Your use of Joyner Services does not transfer any ownership interest in Joyner's intellectual property to you. You may not use Joyner's trademarks, logos, or brand identity without Joyner's prior written consent. See the Joyner Intellectual Property Policy for full details.
9. Community Standards
All users of Joyner Services — including customers, drivers, agents, contractors, and partners — are required to comply with the Joyner Community Guidelines at all times. Joyner has a zero-tolerance policy for discrimination, harassment, violence, and abuse in connection with its services. Violations of the Community Guidelines may result in immediate suspension or permanent removal from Joyner's platform.
10. Non-Discrimination
Joyner is committed to providing its services without discrimination. See the Joyner Non-Discrimination Policy for details. Joyner's drivers, agents, and service partners are required to serve all eligible customers without discrimination as a condition of their engagement with Joyner.
11. Disclaimer of Warranties
JOYNER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. JOYNER DOES NOT WARRANT THAT ITS SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE AVAILABLE AT ALL TIMES. SEE THE JOYNER GENERAL DISCLAIMER FOR ADDITIONAL DETAILS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOYNER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO JOYNER SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO JOYNER IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). IN NO EVENT SHALL JOYNER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SEE THE JOYNER LIMITATION OF LIABILITY & INDEMNIFICATION POLICY FOR FULL DETAILS.
13. Indemnification
You agree to indemnify, defend, and hold harmless Joyner and its affiliates, officers, directors, employees, drivers, agents, and contractors from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of Joyner Services in violation of these Master Terms or applicable law; (b) your breach of any representation or warranty herein; (c) your negligence or willful misconduct; or (d) your violation of any third-party right.
14. Dispute Resolution & Arbitration
ALL DISPUTES BETWEEN YOU AND JOYNER ARISING OUT OF OR RELATING TO JOYNER SERVICES ARE SUBJECT TO BINDING ARBITRATION AND A CLASS ACTION WAIVER, AS DESCRIBED IN THE JOYNER ARBITRATION & DISPUTE RESOLUTION POLICY, WHICH IS INCORPORATED INTO THESE MASTER TERMS BY REFERENCE. BY USING JOYNER SERVICES, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST JOYNER.
15. Governing Law & Venue
These Master Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. To the extent any dispute is not subject to arbitration, the exclusive venue for such dispute is the state and federal courts of Fulton County, Georgia, and you consent to personal jurisdiction in those courts.
16. Force Majeure
Joyner is not liable for any failure or delay in performing its obligations under these Master Terms or any service-specific terms caused by circumstances beyond its reasonable control, including Acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, pandemics, or infrastructure failures. 17. Modifications to These Master Terms
Joyner may update these Master Terms at any time. Material changes will be communicated via the Joyner app, email, or the Joyner Legal Center. Continued use of Joyner Services after changes take effect constitutes acceptance of the revised Master Terms. If you do not agree to revised Master Terms, you must stop using Joyner Services.
18. Severability
If any provision of these Master Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Master Terms, together with the applicable service-specific terms, policies, and agreements incorporated by reference, constitute the entire agreement between you and Joyner with respect to Joyner Services and supersede all prior agreements, representations, and understandings relating to the same subject matter.
