Joyner Mobility — Driver / CNA Agreement

1. Purpose & Scope

This Driver / CNA Agreement ("Agreement") governs the relationship between Joyner Transportation & Logistic Services LLC, a Georgia limited liability company ("Joyner," "we," "us," or "our"), and individuals who provide driving and/or certified nursing assistant services in connection with Joyner Mobility non-emergency medical transportation ("NEMT") and assisted transportation services ("Driver," "CNA," "you," or "your"). This Agreement applies to both W-2 employee drivers and CNAs, and to 1099 independent contractor drivers and CNAs, as applicable. Sections specific to one classification are clearly labeled.

By performing services for Joyner Mobility, you agree to be bound by this Agreement, the Joyner Driver Terms & Conditions, the Community Guidelines, and all applicable Joyner policies. In the event of a conflict between this Agreement and a separately executed written employment or contractor agreement, the separately executed agreement controls.

2. Eligibility Requirements

To be eligible to provide services under this Agreement, you must at all times:

  • Hold a valid driver's license appropriate for the vehicle class you operate, with a clean driving record meeting Joyner's MVR standards

  • Pass Joyner's pre-engagement background check, including criminal history screening consistent with applicable state NEMT provider requirements
  • Pass Joyner's pre-engagement drug and alcohol screening
  • For CNAs: hold a current, valid CNA certification in the state(s) where you provide services, and maintain that certification in active status throughout your engagement
  • Complete Joyner Mobility's required onboarding training through Joyner University, including NEMT-specific safety, passenger assistance, wheelchair securement, and sensitivity training
  • Maintain eligibility to work in the United States
  • Comply with all applicable state NEMT provider credentialing and background check requirements

3. Scope of Services

You are authorized to provide the following services under this Agreement, based on your role and training:

3.1 Driver Services

  • Safe, lawful operation of Joyner Mobility vehicles in compliance with all applicable traffic laws and Joyner's vehicle operation policies
  • Ambulatory assistance: offering a steady arm or hand for balance, assisting riders in entering and exiting the vehicle
  • Wheelchair assistance: pushing manual wheelchairs, operating vehicle lifts and ramps, securing wheelchairs and riders using approved tie-down and occupant restraint systems
  • Door-to-door and door-through-door assistance as described in the Assisted Transportation Disclaimer
  • Light carry assistance for personal belongings and small medical equipment cases

3.2 CNA Services (in addition to Driver Services where applicable)

  • All driver assistance services listed above
  • Providing companionship and verbal support to riders during transport
  • Monitoring rider comfort and alertness and reporting concerns to dispatch and appropriate contacts
  • Assisting with comfort repositioning within the vehicle (non-clinical)
  • Basic first aid response in accordance with CNA training and applicable scope of practice

4. Prohibited Activities

You are expressly prohibited from performing the following in connection with Joyner Mobility services, regardless of your training or licensure:

  • Administering, preparing, or assisting with any medication
  • Performing any clinical assessment, vital signs measurement, or medical evaluation
  • Performing any medical or nursing procedure, including wound care, catheter care, suctioning, tube feeding, or oxygen titration
  • Performing full transfers of non-weight-bearing riders without a licensed healthcare professional present
  • Providing clinical advice or making clinical recommendations to riders or their families
  • Physically restraining a rider under any circumstances — contact dispatch and, if necessary, 911
  • Accepting gratuities or payments directly from riders outside of the Joyner platform
  • Sharing rider personal information, health information, or trip details with unauthorized persons
  • Using your personal vehicle to transport Joyner Mobility riders without express written authorization

5. Vehicle Operation & Safety

You must at all times:

  • Operate Joyner Mobility vehicles safely and in compliance with all applicable traffic laws, posted speed limits, and road conditions
  • Complete pre-trip and post-trip vehicle inspections and report any defects to dispatch and fleet management immediately
  • Ensure all riders and companions are properly seated and secured before moving the vehicle
  • Secure all wheelchairs and mobility devices in accordance with FMCSA cargo securement standards and ADA wheelchair securement requirements before beginning each trip
  • Not operate a vehicle while impaired by any substance or while fatigued
  • Not use a handheld mobile device while operating a vehicle
  • Maintain the vehicle in a clean, sanitary condition between trips

6. Rider Interaction & Conduct Standards

You must treat all riders, companions, and members of the public with dignity, respect, and sensitivity, consistent with the Joyner Community Guidelines and applicable NEMT professional standards. You must:

  • Address riders respectfully using their preferred name or title
  • Maintain rider privacy and confidentiality at all times, including not discussing rider health information or trip details in public settings
  • Not make comments about a rider's medical condition, appearance, or personal circumstances
  • Not use a mobile phone for personal calls or social media while a rider is in the vehicle
  • Immediately report any rider complaint, safety concern, or incident to Joyner dispatch
  • Not engage in any romantic, personal, or financial relationship with riders or their family members

7. HIPAA & Rider Privacy

In the course of providing Joyner Mobility services, you may encounter protected health information (PHI) about riders, including medical conditions, diagnoses, treatment information, and health history. You must:

  • Treat all rider health information as strictly confidential
  • Not disclose any rider PHI to any person other than Joyner dispatch or, in an emergency, responding emergency medical personnel
  • Not discuss rider health information in public settings, including in the presence of other riders or members of the public
  • Comply with all applicable HIPAA requirements to the extent they apply to your role
  • Report any suspected or actual unauthorized disclosure of rider PHI to Joyner immediately

8. Emergency Procedures

In the event of a medical emergency involving a rider during transport:

  • Pull over immediately in a safe location
  • Call 911 and request emergency medical services
  • Contact Joyner dispatch immediately
  • Contact the rider's emergency contact if one has been provided
  • Remain with the rider until emergency services arrive, providing basic first aid within your training
  • Cooperate fully with responding EMS personnel
  • Complete Joyner's incident report form within 24 hours

In the event of a vehicle accident during a Mobility trip, follow the accident reporting procedures in the Driver Terms & Conditions and prioritize the safety and welfare of any riders in the vehicle.

9. Training & Certification Requirements

You must complete the following training before providing Joyner Mobility services and maintain compliance on an ongoing basis:

  • Joyner Mobility onboarding training (through Joyner University) — required before first trip
  • Wheelchair securement and passenger assistance training — required before transporting wheelchair users
  • Sensitivity and disability awareness training — required annually
  • CPR and First Aid certification — required and must be maintained current throughout engagement
  • AED training — required where vehicles are equipped with AEDs
  • For CNAs: maintenance of active CNA certification in applicable state(s) throughout engagement
  • Any additional training required by applicable state NEMT regulations or Medicaid program requirements

10. Compensation

W-2 Employee Drivers/CNAs: Compensation terms are set forth in your offer letter or employment agreement and are subject to Joyner's Employee Handbook. Joyner complies with all applicable federal and state wage and hour laws.

1099 Independent Contractor Drivers/CNAs: Compensation terms are set forth in your Independent Contractor Agreement. As an independent contractor, you are responsible for all applicable self-employment taxes, your own vehicle insurance (where applicable), and maintaining your own professional certifications at your expense.

11. Confidentiality

In addition to rider privacy obligations under Section 7, you must keep confidential all Joyner business information, including dispatch procedures, pricing, customer lists, and operational data. This obligation survives the end of your engagement with Joyner.

12. Termination

Joyner may immediately terminate this Agreement for: a confirmed positive drug or alcohol test; loss or suspension of required licensure or certification; violation of rider privacy or HIPAA obligations; conduct that endangers rider safety; theft or misappropriation; or material breach of this Agreement or any Joyner policy. For W-2 employees, termination is subject to applicable employment law. For 1099 contractors, termination is subject to the notice provisions of the applicable Independent Contractor Agreement.

13. Dispute Resolution & Governing Law

Disputes arising out of or relating to this Agreement are subject to the Joyner Arbitration & Dispute Resolution Policy. This Agreement is governed by the laws of the State of Georgia and applicable federal law.
