Joyner Mobile App — Terms & Conditions
1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Joyner Transportation & Logistic Services LLC, a Georgia limited liability company with its principal place of business in Atlanta, Georgia ("Joyner," "we," "us," or "our"), governing your download, installation, access to, and use of the Joyner mobile application (the "App") on iOS and Android devices.
By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Joyner Master Terms & Conditions, the Joyner Privacy Policy, and the Acceptable Use Policy, all of which are incorporated herein by reference. If you do not agree, do not download or use the App.
If you are using the App on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility
You must be at least 18 years of age to create an account or use the App. By using the App, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts. The App is available to users in the United States only, unless otherwise expressly specified by Joyner.
3. License to Use the App
Subject to your compliance with these Terms, Joyner grants you a limited, non-exclusive, non-transferable, revocable, personal license to download, install, and use the App on a compatible mobile device that you own or control, solely for your personal or authorized business use in connection with Joyner's services.
You may not:
- Copy, modify, distribute, sell, sublicense, or create derivative works based on the App or any part thereof
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
- Remove or alter any copyright, trademark, or other proprietary notices in the App
- Use the App in any manner that violates applicable law or these Terms
- Use automated tools, bots, or scripts to access or interact with the App
- Transfer your license to use the App to any third party
4. Account Registration
To access most features of the App, you must create a Joyner account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) keep your account password secure and confidential; (d) not share your account credentials with any other person; and (e) notify Joyner immediately at support@myjoyner.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.
Joyner reserves the right to suspend or terminate your account at any time, with or without notice, for breach of these Terms, violation of the Community Guidelines, suspected fraud, or for any other reason Joyner determines in its reasonable discretion.
5. App Features & Services
The Joyner App provides a unified interface through which users may access Joyner's various service lines, including but not limited to:
- Joyner Autow roadside assistance request and membership management
- Joyner Mobility non-emergency medical transportation booking
- Airport Shuttle and Corporate Shuttle booking and trip management
- Freight shipment tracking and notifications
- DSP delivery tracking and proof-of-delivery access
- Account management, payment, and billing
- Customer support and safety reporting
- Ryde rideshare (available upon launch in 2027)
Each service accessed through the App is governed by the applicable service-specific Terms & Conditions in addition to these Terms. In the event of a conflict between these Terms and a service-specific document, the service-specific document controls with respect to the specific term it addresses.
6. Location Services
The App uses location services to provide core functionality, including service booking, real-time vehicle tracking, estimated arrival times, and safety features. By using location-dependent features, you consent to the collection, use, and processing of your device's precise geolocation data as described in the Joyner Privacy Policy. You may disable location services through your device settings, but doing so will limit or disable certain App features. Joyner is not responsible for reduced functionality resulting from your disabling of location services.
7. Push Notifications
The App may send push notifications to your device regarding your service bookings, account activity, safety alerts, and promotional offers. You may manage notification preferences through the App settings or your device settings. Disabling notifications may result in you not receiving important service updates or safety alerts. Opting out of promotional notifications does not affect transactional notifications related to active service bookings.
8. In-App Payments
Certain services booked through the App require payment. All payments are processed by Joyner's third-party payment processor. Joyner does not store raw payment card data on its systems. By adding a payment method to the App, you authorize Joyner and its payment processor to charge that payment method for services you book through the App, including applicable taxes and fees. All billing is subject to the Joyner Billing & Payment Policy.
9. Third-Party Services & Links
The App may integrate with or contain links to third-party services, applications, or websites (e.g., mapping services, payment processors, insurance partners). Joyner does not control and is not responsible for the content, privacy practices, or availability of third-party services. Your use of any third-party service is governed by that service's own terms and privacy policy. Joyner's inclusion of a link or integration does not constitute an endorsement of the third-party service.
10. App Updates & Availability
Joyner may release updates, patches, or new versions of the App from time to time. You are encouraged to keep the App updated to ensure access to the latest features and security improvements. Joyner reserves the right to modify, suspend, or discontinue the App or any feature thereof at any time, with or without notice. Joyner is not liable to you for any modification, suspension, or discontinuation of the App.
The App requires an active internet connection to function. Joyner is not responsible for limited or unavailable functionality resulting from network conditions outside its control.
11. Intellectual Property
The App and all content, features, functionality, software, graphics, trademarks, and trade dress within it are owned by or licensed to Joyner and are protected by U.S. and international intellectual property laws. These Terms do not transfer any ownership interest in the App to you. All rights not expressly granted herein are reserved by Joyner.
12. User-Generated Content
If you submit ratings, reviews, photos, or other content through the App, you grant Joyner a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, distribute, and create derivative works from such content in connection with operating and improving Joyner's services. You represent that you own or have the right to submit such content and that it does not violate any third-party rights or applicable law. Joyner may moderate or remove user-generated content that violates the Feedback Policy or Community Guidelines.
13. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. JOYNER DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE COMPATIBLE WITH YOUR DEVICE, OR THAT DEFECTS WILL BE CORRECTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOYNER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APP SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). IN NO EVENT SHALL JOYNER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.
15. Indemnification
You agree to indemnify, defend, and hold harmless Joyner and its affiliates, officers, employees, and agents from and against all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App in violation of these Terms; (b) your violation of applicable law; (c) content you submit through the App; or (d) your negligence or willful misconduct.
16. App Store Terms
Your download and use of the App through Apple's App Store or Google Play is also subject to the applicable App Store provider's terms of service. In the event of any conflict between these Terms and the App Store provider's terms with respect to Joyner's obligations to you, these Terms control. Apple and Google are not parties to these Terms and have no obligation to provide support or warranty for the App.
17. Dispute Resolution
All disputes arising out of or relating to the App or these Terms are subject to the Joyner Arbitration & Dispute Resolution Policy, including the binding arbitration agreement and class action waiver described therein.
18. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. To the extent any dispute is not subject to arbitration, the exclusive venue is the state and federal courts of Fulton County, Georgia.
19. Changes to These Terms
Joyner may update these Terms at any time. Material changes will be communicated via in-app notification or email. Continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you must uninstall the App and discontinue its use.
